The results of GCG assessment in 2008 carried out by BPKP obtained a score of 85.56. 2009 Hasil assessment penerapan Good Corporate Governance (GCG) pada tahun 2009 mencapai skor 86,20. Pada tahun tersebut, terjadi beberapa peningkatan signifikan dalam praktik GCG. Salah satunya adalah peran yang semakin ditingkatkan oleh komite-komite Dewan Komisaris. Komite-komite tersebut meliputi Komite Audit, Komite GCG, Komite Nominasi dan Remunerasi, serta Komite Perencanaan Keuangan dan Risiko Usaha. Penerapan GCG juga semakin terasa di tingkat operasional Perseroan. Hal ini ditandai dengan peran aktif dari Unit Kerja GCG yang secara intensif melakukan sosialisasi mengenai GCG kepada seluruh jajaran WIKA. Unit Kerja GCG juga membantu Komite GCG dalam memantau kepatuhan perilaku kerja terhadap buku panduan kode etik (code of conduct) Perseroan. The results of Good Corporate Governance assessment in 2009 obtained a score of 86.20. In this year, several significant improvements in GCG practices were recorded. One of them is the increasingly enhanced role of Board of Commissioners committees. These committees include Audit Committee, GCG Committee, Nomination and Remuneration Committee, and Financial Planning and Business Risk Committee. \The implementation of GCG is also increasingly felt at the Company’s operational level. This is marked by the active role of GCG Work Unit, which intensively carried out GCG outreach to all levels of WIKA. The GCG Work Unit also assisted the Committee in monitoring work behavior compliance with the Company’s code of conduct guidebook. 2010 Perseroan telah melakukan sejumlah upaya sejak tahun 2007 hingga 2010, antara lain: 1. Pembentukan komite-komite sebagai perangkat kerja Dewan Komisaris, yaitu: Komite Audit, Komite Remunerasi dan Nominasi, Komite Perencanaan dan Risiko Usaha, serta Komite GCG. 2. Tinjauan terhadap Code of Corporate Governance, Code of Conduct, dan Board Manual. 3. Pembuatan dokumen Conflict of Interest dari Dewan Komisaris dan Direksi. 4. Hasil assessment GCG di tahun 2010 oleh Badan Pengawas Keuangan dan Pembangunan (BPKP), diperoleh skor 86,97. The Company has made a number of efforts from 2007 to 2010, including: 1. Establishment of committees as working tools of the Board of Commissioners, namely: Audit Committee, Remuneration and Nomination Committee, Business Planning and Risk Committee, and GCG Committee. 2. Review of the Code of Corporate Governance, Code of Conduct, and Board Manual. 3. Preparation of Conflict of Interest documents from Board of Commissioners and Board of Directors. 4. The results of 2010 GCG assessment by the Financial and Development Supervisory Agency (BPKP), obtained a score of 86.97. 2011 • Penerapan GCG Perusahaan terhadap Peraturan Menteri BUMN No. PER-01/MBU/2011; • Hasil assessment GCG di tahun 2011 oleh Badan Pengawas Keuangan dan Pembangunan (BPKP), diperoleh skor 89,34 dengan kategori Baik. • The Company’s GCG implementation towards SOE Ministerial Regulation PER-01/MBU/2011;; • The results of GCG assessment in 2011 by the Financial and Development Supervisory Agency (BPKP), obtained a score of 89.34 in Good category. 2012 • Kementerian Negara BUMN telah mengeluarkan Keputusan Sekretaris Kementrian BUMN Nomor SK-16/S.MBU/2012 tentang Indikator/ Parameter Penilaian dan Evaluasi atas Penerapan Tata Kelola Perusahaan yang Baik pada BUMN. Surat Keputusan tersebut merupakan pengejawantahan dari bentuk pelaksanaan Peraturan Menteri Negara Badan Usaha Milik Negara Nomor PER-01/MBU/2011 tentang Penerapan Tata Kelola Perusahaan yang Baik. Berdasarkan peraturan baru tersebut terdapat beberapa perbedaan dalam melakukan penilaian, dimana dalam kriteria penilaian yang lama tolok ukur penilaian yang digunakan hanya 50 indikator dengan 160 parameter sedangkan dengan kriteria penilaian yang baru tolok ukur penilaian memiliki 6 aspek yang meliputi 153 indikator dengan sub indikator atau yang disebut sebagai Faktor Uji Kesesuaian (FUK) sebanyak 568 FUK. Melihat dari perbedaan parameter yang dipergunakan dalam penilaian tersebut, dengan kondisi yang sama akan terjadi penurunan hasil penilaian sebesar 15-20% apabila dilakukan dengan menggunakan kriteria yang baru. Nilai GCG Perseroan tahun 2011 dengan menggunakan parameter SK-16/S.MBU/2012 diperkirakan skornya akan berada pada kisaran 76,00 - 80,00. • The Ministry of State-Owned Enterprises has issued the Decree of Secretary of Ministry of State-Owned Enterprises Number SK-16/S. MBU/2012 concerning Indicators/Parameters for Assessment and Evaluation of the Implementation of Good Corporate Governance in SOE. This Decree is an embodiment of the Minister of State for State-Owned Enterprises Regulation Number PER-01/MBU/2011 concerning the Implementation of Good Corporate Governance. Based on the new regulation, there are several differences in conducting assessments, where in the old assessment criteria, the assessment benchmarks used were only 50 indicators with 160 parameters, whereas with the new assessment criteria, the assessment benchmarks have 6 aspects which include 153 indicators with sub-indicators or what are called as a Conformity Test Factor (FUK) of 568 FUK. Looking at the differences in parameters used in the assessment, under the same conditions there would be a decrease in assessment results of 15-20% if using the new criteria, the Company’s GCG score in 2011 using the SK-16/S.MBU/2012 parameters is estimated to be in the range of 76.00 - 80.00. 2013 Perseroan melakukan penilaian penerapan praktik GCG untuk tahun 2013 berdasarkan metode Assessment GCG yang diatur dalam SK-16/S. MBU/2012 tentang Indikator/Parameter Penilaian dan Evaluasi atas Penerapan Tata Kelola Perusahaan yang Baik pada BUMN. Pelaksanaan assesment tahun 2013 dilakukan oleh Badan Pengawasan Keuangan dan Pembangunan (BPKP) sebagai independent assessor. Capaian nilai (skor) Perseroan pada tahun 2013 adalah sebesar 86,076. The Company assessed the implementation of GCG practices for 2013 based on the GCG Assessment method regulated in SK-16/S.MBU/2012 concerning Indicators/Parameters for Assessment and Evaluation of the Implementation of Good Corporate Governance in SOE. The 2013 assessment was carried out by the Financial and Development Supervisory Agency (BPKP) as an independent assessor. The Company’s achievement value (score) in 2013 was 86.076.
