Selain itu, seluruh rekomendasi masing-masing Komite juga telah diterima oleh Dewan Komisaris dan menjadi bahan pertimbangan dalam proses pengambilan keputusan atas usulan yang disampaikan Direksi. Demikian pula dari sisi aspek komunikasi keempat Komite selama tahun 2023 telah terjalin komunikasi yang baik dan intens untuk membahas isu-isu di lingkup Perseroan dan progres tindak lanjut penyelesaian yang dilakukan oleh Direksi. Informasi Perubahan Komposisi dan Susunan Dewan Komisaris Selama tahun 2023, komposisi Dewan Komisaris WIKA tidak mengalami perubahan. Namun demikian, berdasarkan keputusan RUPS Tahunan tanggal 4 Mei 2023, terdapat pengangkatan kembali Suryo Hapsoro Tri Utomo sebagai Komisaris Independen WIKA yang habis masa jabatannya. Dengan demikian komposisi Dewan Komisaris WIKA per 31 Desember 2023 berjumlah 7 (tujuh) orang yang terdiri dari 1 (satu) orang Komisaris Utama, 2 (dua) orang Komisaris, dan 4 (empat) orang Komisaris Independen. Furthermore, all recommendations from each Committee have also been accepted by Board of Commissioners and have been taken into consideration in the decisionmaking process on proposals submitted by the Board of Directors. Likewise, in terms of communication, all four committees have established good and intensive communication throughout 2023, to discuss issues within the Company and the progress of follow-up actions taken by the Board of Directors. Information on Changes in the Composition and Structure of Board of Commissioners Throoughout 2023, the composition of WIKA’s Board of Commissioners remained the same. However, based on the resolution of Annual GMS on May 4, 2023, Suryo Hapsoro Tri Utomo as Independent Commissioner of WIKA whose term of office had expired was re-appointed. Thus, the composition of WIKA’s Board of Commissioners as of December 31, 2023 is 7 (seven) persons consisting of 1 (one) President Commissioner, 2 (two) Commissioners, and 4 (four) Independent Commissioners.
