Kendati pencapaian tersebut masih berada di bawah target tahun 2022, namun Dewan Komisaris dapat memahami hal tersebut dikarenakan pasar industri konstruksi dan infrastruktur yang cenderung menurun dibandingkan tahun sebelumnya. Namun demikian, di tengah kondisi yang sangat menantang tersebut, WIKA masih dapat membukukan laba bersih sebesar Rp12,59 miliar dan berada di atas target yang ditetapkan. Dari aspek operasional, Dewan Komisaris menilai telah berhasil menjaga kestabilan perusahaan serta menjaga kepercayaan para investor dan stakeholders. Upaya efisiensi juga dilakukan dengan terus mengedepankan Quality, Safety, Health and Environment (QSHE) menjadi titik fokus yang sangat penting dan perhatian Direksi. Selain itu implementasi ERP di tahun 2022 menjadi terobosan yang diusung Direksi guna menjawab kebutuhan data dan informasi secara real time, serta perubahan budaya kerja para pegawai dan karyawan pasca pandemi COVID-19. Peningkatan EBITDA dari tahun-tahun sebelumnya menggambarkan kinerja WIKA yang terus membaik. Di saat bersamaan, WIKA tetap mampu mencatatkan prestasi gemilang diantaranya meraih Indonesia TOP GCG Awards 2022 dengan 5 Stars, The Most Committed GRC Leader 2022, AKHLAK AWARD 2022 untuk Klaster Infrastruktur, TOP CSR Awards 2022 Star 5, dan Indonesia CSR Excellence Award 2022 untuk Best CSR Global Program. Atas pencapaian tersebut, Dewan Komisaris menilai Direksi telah menjalankan tugas dan tanggung jawabnya dengan baik dalam mengelola Perseroan di tahun 2022. Dalam melakukan penilaian kinerja Direksi, Dewan Komisaris menetapkan target Key Performance indicators (KPI) bagi Direksi. KPI tersebut diatur format dan pokok-pokok indikatornya oleh Kementerian BUMN sehingga tetap dalam koridor peraturan yang berlaku. Dalam KPI tersebut kami menilai Direksi dari 5 perspektif: 1. Nilai Ekonomi dan Sosial 2. Inovasi Model Bisnis 3. Kepemimpinan Teknologi 4. Peningkatan Investasi 5. Pengembangan Talenta Selain itu, penilaian juga dilakukan pada aspek penerapan GCG dimana WIKA setiap tahun melakukan assessment GCG (baik self assessment maupun penilaian oleh pihak independent) serta mengevaluasi kinerja korporat melalui penilaian tingkat kesehatan. Kemudian untuk memastikan pencapaian RKAP terpantau secara berkala sebagai early warning system, Dewan Komisaris melakukan pengawasan atas hasil usaha WIKA setiap bulan. Dalam proses tersebut, Dewan Komisaris dapat mengevaluasi kinerja Direksi secara periodik. In terms of financial aspect, the Company managed to achieve revenues of Rp21,480.79 billion. Even though this achievement is still below the 2022 target, Board of Commissioners is fully aware that such achievement was caused by the declining construction and infrastructure industry market compared to the previous year. However, in the midst of these very challenging conditions, WIKA was still able to record a net profit of Rp12.59 billion and this figure exceeded the set target. In terms of operational aspect, Board of Commissioners considers that maintaining the stability of the company and maintaining the trust of investors and stakeholders had been successfully done. Efficiency efforts were also made by continuously prioritizing Quality, Safety, Health and Environment (QSHE) as a very important focus point and the attention of Board of Directors. In addition, the implementation of ERP in 2022 was a breakthrough carried out by the Board of Directors to answer the need for data and information in real time, as well as changes in the work culture of employees after the COVID-19 pandemic. The increase in EBITDA from previous years illustrates that WIKA’s performance continues to improve. At the same time, WIKA was still able to record brilliant achievements including winning the Indonesia TOP GCG Awards 2022 with 5 Stars, The Most Committed GRC Leader 2022, AKHLAK AWARD 2022 for Infrastructure Cluster, TOP CSR Awards 2022 Star 5, and Indonesia CSR Excellence Award 2022 for Best CSR Global Program. For this achievement, Board of Commissioners is of the opinion that the Board of Directors has properly executed their duties and responsibilities in managing the Company in 2022. In assessing the Board of Directors performance, the Board of Commissioners sets Key Performance Indicators (KPI) targets for the Board of Directors. The KPI is set in format and key indicators by the Ministry of SOEs so that it remains within the corridors of applicable regulations. Based on the KPI, the Board of Directors was assessed from 5 perspectives: 1. Economic and Social Value 2. Business Model Innovation 3. Technology Leadership 4. Increased Investment 5. Talent Development In addition, an assessment is also carried out on GCG implementation aspects, where WIKA annually conducts GCG assessment (both self-assessment and assessment by independent party) and evaluates corporate performance through soundness level assessment. In order to ensure that the achievement of RKAP is monitored regularly as an early warning system, Board of Commissioners supervises WIKA’s business outcome every month. In this process, Board of Commissioners can periodically evaluate the performance of Board of Directors.
