Secara tidak langsung penyelesaian proyek-proyek akan menghasilkan arus kas yang dapat membantu akselerasi perbaikan struktur keuangan WIKA untuk mencapai target sustainable debt level. Peran Dewan Komisaris dapat dilihat melalui keterlibatan intens Dewan Komisaris secara rutin dalam memberikan arahan dan masukan kepada Direksi terhadap penyusunan rencana kerja Perseroan. Sementara dalam melakukan fungsi pengawasan, salah satu pengawasan yang dilakukan Dewan Komisaris adalah terhadap implementasi strategi yang dijalankan oleh Direksi. Dalam merumuskan target kinerja dalam rencana bisnis Perseroan, Dewan Komisaris berperan memberikan arahan dan masukan sesuai kapasitas dan kapabilitas yang dimilikinya, termasuk arahan dan masukan untuk rencana kerja strategis yang dirumuskan Direksi. Untuk itu, Dewan Komisaris memiliki tanggung jawab agar implementasi rencana strategis tersebut dapat terlaksana dengan baik. Sebagaimana yang diamanatkan dalam peraturan dan perundang-undangan yang berlaku, khususnya Undangundang No. 40 Tahun 2007 tentang Perseroan Terbatas, dan juga dalam Board Manual yang mengatur rapat Dewan Komisaris yang diadakan paling sedikit setiap bulan sekali, di mana dalam rapat tersebut mengundang Direksi. Dewan Komisaris dan Direksi memiliki forum rapat gabungan yang membahas berbagai agenda menyangkut rencana kerja, operasional, peluang usaha, serta isu-isu strategis yang memerlukan persetujuan Dewan Komisaris. Rapat ini merupakan bentuk koordinasi dalam rangka membahas laporan-laporan periodik Direksi dan memberikan tanggapan, catatan dan nasihat yang dituangkan dalam risalah rapat. Dewan Komisaris telah menjalankan perannya dalam mengawasi pengelolaan operasi dan bisnis yang dijalankan Direksi. Secara spesifik tugas pengawasan Dewan Komisaris meliputi: 1. Pengawasan dan penasihatan atas Bidang Usaha Sipil Umum dan Bangunan Gedung; 2. Pengawasan dan penasihatan atas Bidang Quality, Health, Safety, Environment and Engineering (QHSEE) Bidang Human Capital Management; 3. Pengawasan dan penasihatan atas Bidang Manajemen Risiko; 4. Pengawasan dan penasihatan atas Bidang Usaha Sipil Umum, Pemasaran dan Legal; 5. Pengawasan dan penasihatan atas Bidang Keuangan dan Legal; 6. Pengawasan dan penasihatan atas Bidang Usaha Departemen Industrial Plant (EPCC); 7. Pengawasan dan penasihatan atas Bidang Usaha Luar Negeri dan Bangunan Gedung. In addition to the restructuring efforts that have been carried out, the Company is proposing additional equity funding from shareholders which is needed to increase the availability of working capital to complete the National Strategic Project which is currently being worked on as well as providing additional working capital. Indirectly, the completion of projects will generate cash flow and can accelerate the improvements in WIKA’s financial structure to achieve the sustainable debt level target. The Board of Commissioners’ role can be seen through the Board’s regular intense involvement in providing guidance and input to the Board of Directors regarding the preparation of the Company’s work plan. Meanwhile, in performing its oversight function, one of the supervisory role undertaken by Board of Commissioners is overseeing the implementation of strategies carried out by the Board of Directors. In formulating performance targets in the Company’s business plan, Board of Commissioners plays a role in providing guidance and input according to its capacity and capability, including guidance and input for strategic work plans formulated by the Board of Directors. For this reason, Board of Commissioners has the responsibility to ensure that the implementation of these strategic plans is carried out effectively. As mandated in the applicable regulations and legislation, especially Law no. 40 of 2007 concerning Limited Liability Companies, and also in the Board Manual that regulates Board of Commissioners meetings to be held at least once a month, where the Directors are invited to the meeting. Board of Commissioners and Board of Directors have a joint meeting forum that discusses various agendas regarding work plans, operations, business opportunities and strategic issues that require approval from the Board of Commissioners. This meeting is a form of coordination in order to discuss the Board of Directors’ periodic reports and provide responses, notes and advice as outlined in the minutes of meeting. Board of Commissioners has fulfilled its role in overseeing the management of operations and business carried out by the Board of Directors. Specifically, the supervisory duties of Board of Commissioners include: 1. Supervision and advice on General Civil and Building Construction Business Sector; 2. Supervision and advice on Quality, Health, Safety and Environment (QHSE) Sector as well as Human Capital Management; 3. Supervision and advice on Risk Management Sector; 4. Supervision and advice on General Civil, Marketing and Legal Business Sector; 5. Supervision and advice on Financial and Legal Sector; 6. Supervision and advice on Industrial Plant Department (EPCC) Business Sector; 7. Supervision and advice on Overseas and Building Construction Business Sector.
