Dismissal decisions for reasons as referred to points 1 a, b, and c above, are taken after the person has been given the opportunity to defend themself. Dismissal for the reasons referred to points 1 letters c and d above result in dismissal with disrespect. 4. If for some reason the position of a member of Board of Commissioners is vacant, or the Company does not have a member of Board of Commissioners, a GMS must be held no later than 90 (ninety) calendar days after the vacancy occurs, to fill the vacancy; 5. The position of member of Board of Commissioners ends if: a. Their resignation becomes effective as per the Articles of Association; b. They passed away; c. Their term in office ends; d. They are dismissed by the GMS; and/or no longer fulfills the requirements as a member of Board of Commissioners based on prevailing laws and regulations; e. They can no longer fulfill the requirements as a member of Board of Commissioners based on prevailing laws and regulations. 6. In the event that a member of Board of Commissioners resigns and causes the number of members of Board of Commissioners to be less than 2 (two) people, the resignation is valid if has been determined by the GMS, and a new member of Board of Commissioners has been appointed, so the Company meets the minimum requirements for the number of members of Board Commissioner. 7. For members of Board of Commissioners who resign before and after their term of office expires, except due to death, the person remains responsible for their actions until their resignation has been accepted by the GMS. Board of Commissioners’ Assessment on the Performance of its Supporting Committees in the Fiscal Year Includes: Performance Assessment Procedures To ensure that all GCG organs work optimally in accordance with their scope of work, the Board of Commissioners assesses the performance of its supporting organs, including Secretary of Board of Commissioners, Audit Committee, Risk Monitoring Committee and Integrated Governance Committee, and Nomination, Remuneration and GCG Committee. This assessment is carried out based on: 1. Self Assessment; 3. Keputusan pemberhentian karena alasan sebagaimana dimaksud pada butir 1 a, b, dan c di atas, diambil setelah yang bersangkutan diberi kesempatan membela diri. Pemberhentian karena alasan sebagaimana dimaksud pada butir 1 huruf c dan d di atas merupakan pemberhentian dengan tidak hormat; 4. Apabila oleh suatu sebab jabatan anggota Dewan Komisaris lowong atau Perseroan tidak mempunyai seorang pun anggota Dewan Komisaris, maka RUPS harus diselenggarakan dalam waktu paling lambat 90 (sembilan puluh) hari kalender setelah terjadi lowongan, untuk mengisi lowongan tersebut; 5. Jabatan anggota Dewan Komisaris berakhir apabila: a. Pengunduran dirinya efektif sebagaimana memenuhi ketentuan Anggaran Dasar; b. Meninggal dunia; c. Masa jabatannya berakhir; d. Diberhentikan berdasarkan RUPS; dan/atau tidak lagi memenuhi persyaratan sebagai anggota Dewan Komisaris berdasarkan Peraturan Perundang-undangan yang berlaku; e. Tidak lagi memenuhi persyaratan sebagai anggota Dewan Komisaris berdasarkan Peraturan Perundang-undangan yang berlaku. 6. Dalam hal anggota Dewan Komisaris mengundurkan diri sehingga mengakibatkan jumlah anggota Dewan Komisaris menjadi kurang dari 2 (dua) orang, maka pengunduran diri tersebut sah apabila telah ditetapkan oleh RUPS dan telah diangkat anggota Dewan Komisaris yang baru sehingga Perseroan memenuhi persyaratan minimal jumlah anggota Dewan Komisaris; 7. Bagi anggota Dewan Komisaris yang berhenti sebelum maupun setelah masa jabatannya berakhir, kecuali berhenti karena meninggal dunia, maka yang bersangkutan tetap bertanggung jawab atas tindakan-tindakannya yang belum diterima pertanggungjawabannya oleh RUPS. Penilaian Dewan Komisaris terhadap Kinerja Komite yang Mendukung Pelaksanaan Tugas Dewan Komisaris pada Tahun Buku Meliputi: Prosedur Penilaian Kinerja Untuk memastikan seluruh organ GCG bekerja dengan optimal sesuai dengan ruang lingkup kerjanya, Dewan Komisaris melakukan penilaian atas kinerja organ pendukungnya, meliputi Sekretaris Dewan Komisaris, Komite Audit, Komite Pemantau Risiko dan Komite Tata Kelola Terintegrasi, dan Komite Nominasi, Remunerasi dan GCG.
