Kriteria evaluasi kinerja individu anggota Direksi antara lain meliputi: 1. Tingkat kehadiran dalam Rapat Direksi maupun Rapat Koordinasi Direksi dengan Komisaris. 2. Kesiapannya dengan materi yang akan dibahas dalam rapat. 3. Partisipasinya dalam pembahasan masalah maupun dalam pengambilan keputusan. 4. Ketaatan terhadap Peraturan Perundang-undangan yang berlaku dan kebijakan perusahaan. 5. Komitmennya terhadap keputusan bersama yang telah dibuat. Pihak yang Melakukan Assessment Pihak yang melakukan Penilaian kinerja Direksi adalah Pemegang Saham dalam RUPS berdasarkan kewajiban yang tercantum dalam Perundang-undangan yang berlaku dan Anggaran Dasar maupun amanat Pemegang Saham. Hasil Penilaian Kinerja Direksi Pada tahun 2023, Direksi menunjukkan kinerja positif dalam menjalankan tugas kepengurusan Perseroan. Fokus mereka pada strategi yang telah disusun dan implementasinya menghasilkan kontribusi yang signifikan terhadap visi dan misi Perseroan. Dalam pelaksanaan tugas dan tanggung jawabnya, Direksi telah menunjukkan dedikasi yang baik dengan memperhatikan kepentingan Perseroan, dan menjaga keseimbangan antara berbagai pihak yang berkepentingan dengan aktivitas Perseroan. Penilaian Kinerja Direksi dengan Menggunakan Metode Assessment GCG Penilaian kinerja Direksi dilakukan melalui Self Assessment berdasarkan Peraturan Menteri Negara BUMN No. PER-01/MBU/2011 tentang Penerapan Tata Kelola Perusahaan yang Baik pada BUMN dan Keputusan Sekretaris Kementerian Badan Usaha Milik Negara No. SK-16/S.MBU/2012 tanggal 6 Juni 2012 tentang Indikator/ Parameter Penilaian dan Evaluasi atas Penerapan Tata Kelola Perusahaan yang Baik ( Good Corporate Governance) pada BUMN. Prosedur Pelaksanaan Assessment Kinerja Direksi Pelaksanaan Self Assessment kinerja Direksi termasuk di dalam pelaksanaan assessment GCG Perseroan yang dilakukan dilakukan melalui beberapa tahap, antara lain: penyampaian dokumen yang dibutuhkan, pengisian kuesioner oleh Dewan Komisaris dan Direksi, wawancara, analisis terhadap dokumen, kuesioner, wawancara dan observasi yang dilakukan, presentasi hasil sementara, dan pelaporan mengenai hasil capaian dan rekomendasi terhadap kinerja Direksi. Board of Directors’ Performance Appraisal Criteria The GMS determines the performance criteria for Board of Directors and individual members of Board of Directors. The criteria for evaluating the individual performance of Board of Directors members include: 1. The level of attendance at Board of Directors meetings and Coordination Meetings between Directors and Commissioners. 2. Readiness with the material to be discussed at the meeting. 3. Participation in problem discussions and decision making. 4. Compliance with applicable laws and regulations and Company policies. 5. Commitment to joint decisions that have been made. Assessor The assessor of Board of Directors’ performance is the Shareholders at the GMS based on the obligations listed in applicable laws and regulations, the Articles of Association, and the Shareholders mandate. Board of Directors Performance Appraisal Results In 2023, Board of Directors has demonstrated a positive performance in carrying out the Company’s management duties. Their focus on the strategy and its implementation resulted in a significant contribution to the Company’s vision and mission. In carrying out their duties and responsibilities, Board of Directors has shown good dedication by taking into account the interests of the Company, and maintaining a balance between various parties with an interest in the Company’s activities. Board of Directors’ Performance Appraisal Based on GCG Assessment Method The Board of Directors’ performance appraisal is done through Self Assessment using the Ministry of SOEs Regulation No. PER-01/MBU/2011 concerning the Implementation of Good Corporate Governance in SOEs and the Decree of Secretary of Ministry of SOE No. SK16/S. MBU/2012 dated June 6, 2012 concerning Evaluation Indicators/Parameters for the Implementation of Good Corporate Governance in SOEs. Board of Directors’ Performance Appraisal Procedures The Self-Assessment of Board of Directors’ Performance is included in the Company’s GCG assessment, which is carried out through several stages, including: submission of required documents, completing questionnaires by Board of Commissioners and Board of Directors, interviews, analysis of documents, questionnaires, interviews and observations, presentation of interim results, and reporting on achievements and recommendations for the performance of the Board of Directors.
