Laporan dimaksud wajib disampaikan paling lambat 10 (sepuluh) hari sejak terjadinya kepemilikan atau perubahan. Selain ketentuan pelaporan kepada Otoritas Jasa Keuangan, anggota Direksi dan anggota Dewan Komisaris juga wajib menyampaikan informasi kepada Perusahaan Terbuka mengenai kepemilikan dan setiap perubahan kepemilikannya atas saham Perusahaan Terbuka. Penyampaian informasi tersebut dilakukan paling lambat 3 (tiga) hari kerja setelah terjadinya kepemilikan atau setiap perubahan kepemilikan atas saham Perusahaan Terbuka. Kebijakan mengenai kewajiban anggota Direksi dan anggota Dewan Komisaris untuk menyampaikan informasi mengenai kepemilikan dan setiap perubahan kepemilikan saham atas saham Perseroan diatur dalam Pedoman Tata Kerja Direksi dan Dewan Komisaris (Board Manual) PT Wijaya Karya (Persero) Tbk yang telah dimutakhirkan berdasarkan Surat Keputusan Bersama Nomor: 41/DK/WIKA/2021 dan Nomor: SK.02.09/A. DIR.0617/2021 dan sedang dimutakhirkan berdasarkan perubahan Peraturan Menteri Per-2/MBU/03/2023.. Pelaksanaan atas Kebijakan Dimaksud Pada tahun 2023, Perseroan tidak melaporkan transaksi pembelian dan/atau penjualan saham oleh Direksi dan Dewan Komisaris, dikarenakan tidak terdapat perubahan kepemilikan saham. Share Ownership Policy for Members of Board of Directors and Board of Commissioners No later than 3 (Three) Working Days After the Occurrence of Ownership or Any Changes of Ownership of Public Company Shares Based on OJK Regulation No. 11/POJK.04/2017 concerning Report of Ownership or Any Changes in Ownership of Public Company Shares, Members of Board of Directors or members of Board of Commissioners must report to the Financial Services Authority on ownership and any changes in ownership of Public Company shares, either directly or indirectly. The said report must be submitted no later than 10 (ten) days after the occurrence of ownership or change. In addition to reporting requirements to the Financial Services Authority, members of Board of Directors and members of Board of Commissioners are also required to submit information to the Public Company regarding ownership and any changes in their ownership of the Public Company’s shares. Submission of this information is carried out no later than 3 (three) working days after the ownership or any change in ownership of the Public Company’s shares. The policy regarding the obligation of members of Board of Directors and members of Board of Commissioners to submit information regarding ownership and any changes in share ownership of the Company’s shares is regulated in Working Guidelines for Board of Directors and Board of Commissioners (Board Manual) of PT Wijaya Karya (Persero) Tbk that has been updated based on Joint Decree No: 41/ DK/WIKA/2021 and No: SK.02.09/A. DIR.0617/2021 and is being updated based on the amendment of Ministerial Regulation Per-2/MBU/03/2023. Implementation of the Policy In 2023, the Company did not report share purchase and/ or sale transactions by the Board of Directors and Board of Commissioners, because there were no changes in share ownership.
