Dimana tantangan keuangan yang dihadapi WIKA pada tahun 2023 adalah sisi likuiditas. Tantangan tersebut membuat WIKA Induk mengalami potensi kesulitan melakukan pembayaran kewajibannya. Tantangan likuiditas diakibatkan oleh sulitnya perolehan pendanaan utang berbunga serta belum optimalnya kas dari kegiatan operasional WIKA Induk. Sementara tantangan operasional WIKA disebabkan oleh cost overrun akibat perlambatan pengerjaan proyek yang disebabkan oleh penerapan Pemberlakuan Pembatasan Kegiatan Masyarakat (PPKM) dan pembatasan mobilisasi ketika Pandemi COVID-19 sehingga menimbulkan dispute dan klaim dengan pemberi kerja serta membuat kualitas piutang WIKA menurun yang juga merupakan imbas dari penurunan keuangan dari pemberi kerja. Pada segi korporasi dengan kondisi perekonomian yang belum sepenuhnya pulih membuat beberapa Pemberi Kerja, melakukan pemotongan dan realokasi terhadap anggaran capital expenditure. Dampaknya pembukaan tender proyek baru menjadi tersendat. Dewan Komisaris dapat memahami tantangan tersebut, dan mengapresiasi berbagai inisiatif strategis yang diambil Direksi dalam mengkonversi tantangan di tahun 2023 tersebut menjadi pertumbuhan di masa depan. Secara umum, kinerja Direksi ditentukan berdasarkan target kinerja yang tercantum dalam Statement of Corporate Intent, tugas kewajiban yang tercantum dalam peraturan perundang-undangan yang berlaku dan Anggaran Dasar Perusahaan serta amanat Pemegang Saham. Kriteria evaluasi formal disampaikan secara terbuka kepada Direksi sejak pengangkatannya. Adapun Kriteria evaluasi kinerja individu anggota Direksi antara lain meliputi: 1. Tingkat kehadiran dalam Rapat Direksi maupun Rapat Koordinasi Direksi dengan Komisaris. 2. Kesiapannya dengan materi yang akan dibahas dalam rapat. 3. Partisipasinya dalam pembahasan masalah maupun dalam pengambilan keputusan. 4. Ketaatan terhadap Peraturan Perundang-undangan yang berlaku dan kebijakan perusahaan. 5. Komitmennya terhadap keputusan bersama yang telah dibuat. The Board of Commissioners’ assessment on the Performance of Board of Directors and the assessment basis Numerous challenges were faced throughout the year 2023, especially those coming from financial, operational and corporate aspects, in which the financial challenge faced by WIKA in 2023 was in terms of liquidity. These challenges have resulted in WIKA Parent experiencing potential difficulties in paying its obligations. Liquidity challenges were caused by the difficulty of obtaining interest-bearing debt funding and the lack of optimal cash from WIKA Parent’s operational activities. Meanwhile, WIKA’s operational challenges were caused by cost overruns due to the slowdown in project work caused by the implementation of Community Activity Restrictions (PPKM) and restrictions on mobilization during the COVID-19 pandemic, giving rise to disputes and claims with owners and causing the quality of WIKA’s receivables to decline, which was also the impact of owners’ financial decline. On the corporate side, with economic conditions that have not fully recovered, several owners, have made cuts and reallocations to capital expenditure budgets. As a result, the opening of tenders for new projects was hampered. The Board of Commissioners can understand these challenges and highly appreciate the various strategic initiatives taken by the Board of Directors to convert the challenges in 2023 into future growth. In general, the performance of Board of Directors is determined based on the performance targets stated in the Statement of Corporate Intent, duties and obligations stated in the applicable laws and regulations and the Company’s Articles of Association as well as the mandate of Shareholders. Formal evaluation criteria are openly submitted to the Board of Directors since their appointment. The criteria for evaluating the individual performance of Board of Directors members include: 1. Level of attendance at Directors’ Meetings and Directors and Commissioners’ Coordination Meetings. 2. Readiness with the material that will be discussed at the meeting. 3. Participation in discussing problems and making decisions. 4. Compliance with applicable laws and regulations and company policies. 5. Commitment to the joint decisions that have been made.
