Berkenaan dengan kriteria/indikator penilaian yang dilakukan dalam mengukur kinerja Direksi, setiap tahun Direksi diberikan target Key Performance indicators (KPI) yang ditetapkan oleh Dewan Komisaris. KPI tersebut diatur format dan pokok-pokok indikatornya oleh Kementerian BUMN sehingga tetap dalam koridor peraturan yang berlaku. Dalam KPI tersebut kami menilai Direksi dari 5 perspektif, yaitu: 1. Nilai Ekonomi Dan Sosial 2. Inovasi Model Bisnis 3. Kepemimpinan Teknologi 4. Peningkatan Investasi 5. Pengembangan Talenta Selain itu, Dewan Komisaris juga mengevaluasi kinerja korporat melalui penilaian tingkat kesehatan. Kemudian untuk memastikan pencapaian RKAP terpantau secara berkala sebagai early warning system, Dewan Komisaris melakukan pengawasan atas hasil usaha WIKA setiap bulan melalui rapat bulanan bersama Direksi. Dari aspek keuangan, Dewan Komisaris menilai Direksi telah berhasil membawa WIKA membukukan kinerja yang lebih baik dibandingkan tahun sebelumnya. Tahun 2024, WIKA membukukan pendapatan neto sebesar Rp19.243 miliar dan mencatat rugi neto sebesar Rp2.514 miliar. Dibandingkan tahun sebelumnya, rugi neto Perseroan mengalami penurunan yang cukup signifikan, dimana pada tahun 2023 Perseroan membukukan rugi neto sebesar Rp7.824 miliar. Hal tersebut tak lepas dari keberhasilan upaya Direksi dalam melakukan restrukturisasi utang Perseroan kepada pihak perbankan. Atas berbagai pencapaian tersebut, Dewan Komisaris memberikan apresiasi yang tinggi kepada Direksi beserta jajarannya yang telah membawa Perseroan meraih hasil yang baik di tengah dinamika ekonomi yang diwarnai ketidakpastian sepanjang tahun 2024. PELAKSANAAN TUGAS DEWAN KOMISARIS Sebagai organ yang bertugas melakukan pengawasan terhadap pengelolaan Perseroan yang dijalankan Direksi, Dewan Komisaris telah melakukan berbagai kegiatan pengawasan sepanjang tahun 2024. Pengawasan yang dilakukan meliputi berbagai aspek, antara lain terkait penerapan strategi dan kebijakan strategis Perseroan, penerapan prinsip tata kelola perusahaan yang baik dan aspek-aspek lain yang terkait dengan Perseroan. Selain itu, Dewan Komisaris juga telah memberikan nasihat, rekomendasi serta persetujuan terhadap hal-hal yang disampaikan Direksi. Talent Development Additionally, Board of Commissioners evaluates corporate performance through an assessment of the Company’s health level. To ensure the achievement of the Work Plan and Budget (RKAP) is monitored periodically as an early warning system, Board of Commissioners supervises WIKA’s performance results every month through monthly meetings with the Board of Directors. From a financial perspective, Board of Commissioners assesses that the Board of Directors has succeeded in bringing WIKA to record better performance compared to the previous year. In 2024, WIKA recorded net revenue of Rp19,243 billion and a net loss of Rp2,514 billion. Compared to the previous year, the Company’s net loss decreased significantly, as in 2023 the Company recorded a net loss of Rp7,824 billion. This success is a result of the Board of Directors' successful efforts in restructuring the Company's debt to the banking sector. For these achievements, Board of Commissioners extends high appreciation to the Board of Directors and its team for bringing the Company to achieve good results amidst the economic dynamics marked by uncertainty throughout 2024. THE IMPLEMENTATION OF BOARD OF COMMISSIONERS’ DUTIES As the organ in charge of overseeing the management of the Company carried out by the Board of Directors, Board of Commissioners has performed a variety of supervisory activities throughout 2024. The supervision covers various aspects, including those related to the implementation of the Company's strategies and strategic policies, the implementation of good corporate governance principles and other aspects related to the Company.
