Karena itu, di tahun 2024 WIKA telah menyelesaikan proses restrukturisasi hutang senilai Rp21 triliun dengan pihak perbankan. Selain itu, Perseroan juga menerima penyertaan modal negara (PMN) senilai Rp6 triliun. PMN diberikan kepada Perseroan sebagai penguatan struktur permodalan dalam rangka penyelesaian proyek-proyek strategis nasional (PSN). Sebagaimana diketahui, saat ini WIKA mengerjakan 42 proyek yang masuk kategori Proyek Strategis Nasional (PSN), diantaranya yaitu PLTU Palu dengan progres 92% per Desember 2024, Pelabuhan Patimban dengan progres 55% per Desember 2024, SPAM Jatiluhur dengan progres 100% per Desember 2024 dan PSN lainnya yang masih dikerjakan WIKA hingga 2024. Tahun 2024, WIKA juga terus berupaya untuk meningkatkan integrasi bagi seluruh WIKA Grup. Setiap lini bisnis dan anak perusahaan dalam WIKA Grup memiliki peran spesifik untuk mendukung proses konstruksi secara menyeluruh dari hulu ke hilir. Agar value chain ini berjalan sinergis dan optimal, WIKA telah menyusun Pedoman Prinsip Pengelolaan Anak Perusahaan & Tata Kelola Terintegrasi, yang bertujuan untuk menciptakan harmoni, transparansi, dan efisiensi di antara seluruh lini bisnis. PERANAN DIREKSI DALAM PERUMUSAN STRATEGI DAN LANGKAH MONITORING YANG DIJALANKAN Perumusan strategi, implementasi dan evaluasi dari penerapan strategi di WIKA merupakan proses yang saling berkait satu dengan lainnya. Sejalan dengan proses transformasi yang dijalankan Perseroan, WIKA mengembangkan mekanisme yang terintegrasi yang dikenal sebagai L0 hingga L5. Setiap tahapan ini dirancang secara sistematis untuk memberikan kejelasan proses, pengendalian yang terukur, serta evaluasi yang berkelanjutan, sehingga mampu mendukung keberhasilan implementasi kebijakan strategis perusahaan. 1. L0: Ide Awal Penyaringan ide dari manajemen/mitra strategis sesuai visi perusahaan. 2. L1: Formulasi Inisiatif Ide dikembangkan menjadi inisiatif konkret dengan analisis dampak dan relevansi. 3. L2: Validasi Rencana Direksi memvalidasi rencana lintas fungsi (Keuangan, TI, dll.) berdasarkan justifikasi bisnis dan kesiapan eksekusi. 4. L3: Implementasi Pengawasan pelaksanaan inisiatif sesuai jadwal, anggaran, dan tujuan, didukung monitoring berbasis data. 5. L4: Evaluasi Kinerja Analisis dampak inisiatif menggunakan KPI untuk menilai efektivitas operasional & strategis. 6. L5: Publikasi & Apresiasi Publikasi hasil sukses untuk citra positif dan pemberian penghargaan kepada tim pelaksana. Direksi terlibat secara aktif dalam setiap tahapan tersebut. Direksi menentukan arah perusahaan dan melakukan analisis risiko manajemen di bidang keuangan, non keuangan dan penjajakan terhadap prospek usaha perusahaan. Hasil akhir perumusan disampaikan kepada Dewan Komisaris untuk saran dan pertimbangan. Of the eight (8) recovery streams, the first and eighth points are short-term and urgent. In 2024, WIKA has also continued to strive to improve integration for the entire WIKA Group. Each line of business and subsidiary in WIKA Group has a specific role to support the overall construction process from upstream to downstream. In order for this value chain to run synergistically and optimally, WIKA has compiled Guidelines for the Principles of Subsidiary Management & Integrated Governance, which aims to create harmony, transparency, and efficiency among all lines of business. THE ROLE OF BOARD OF DIRECTORS IN STRATEGY FORMULATION AND MONITORING MEASURES IMPLEMENTED The formulation of strategy, implementation and evaluation of strategy application at WIKA are interrelated processes. In line with the transformation process carried out by the Company, WIKA developed an integrated mechanism known as L0 to L5. Each stage is systematically designed to provide clarity of process, measurable control and continuous evaluation, so as to support successful implementation of the Company's strategic policies. 1. L0: Initial Idea Screening of ideas from management/strategic partners in accordance with the company's vision. 2. L1: Initiative Formulation Ideas are developed into concrete initiatives with impact and relevance analysis. 3. L2: Plan Validation Board of Directors validates cross-functional plans (Finance, IT, etc.) based on business justification and readiness for execution. 4. L3: Implementation Supervision of initiative implementation according to schedule, budget, and objectives, supported by data-based monitoring. 5. L4: Performance Evaluation Initiative impact analysis using KPIs to assess operational & strategic effectiveness. 6. L5: Publication & Appreciation Publication of successful results for a positive image and awarding of the implementation team. Board of Directors is actively involved in each of these stages. Board of Directors determines the direction of the Company and conducts management risk analysis in the financial and non-financial fields and exploration of the Company's business prospects. The final formulation results are submitted to the Board of Commissioners for advice and consideration.
